1. Overview
This Privacy Policy explains how Vespexx Inc. (“Company,” “we,” “us,” or “soonr”) protects your personal data. This Policy applies to all services provided by soonr, including the soonr mobile application (the “App”) and website.
We are committed to safeguarding your personal data and managing it in accordance with high standards of data protection. When you use soonr, you entrust us with some of your most sensitive and personal information, and we take that responsibility seriously.
2. Personal Data We Collect
We collect the following categories of personal data when you use the Service.
2.1 Data You Provide Directly
• General Information: When you register for the Service, we collect information such as your name (or nickname), email address, birth month and year, password, country of residence, and time zone.
• Sensitive Information (Wellness and Health Data): You may choose to record the following types of information within the App:
– Menstrual information (such as start date, duration, and cycle length)
– Physical information (such as height, weight, body temperature, heart rate, and underlying health conditions)
– Lifestyle information (such as smoking status, alcohol consumption and frequency, medication or supplement use, exercise frequency, sleep duration, water intake, caffeine intake, and meal records)
– Daily mood and symptoms (such as pain levels, emotional state, and sexual activity indicators)
– Fertility and pregnancy-related information (such as ovulation or pregnancy test results, attempts or experiences related to pregnancy, pregnancy duration, fertile windows, contraceptive use and methods, semen analysis results, and medical or clinical information)
The Company uses sensitive information that you provide solely for the purposes described in Section 3 of this Privacy Policy and does not sell such information to third parties.
2.2 Data Collected Automatically
• Device Information: Device model, operating system version, unique device identifiers, and language settings.
• Usage Information: App usage patterns, such as frequency of use, features accessed, time spent on screens, and interactions within the App.
• Location Information: Approximate location information, such as country or city, derived from your IP address. We do not collect precise GPS location data.
2.3 Data Collected from Third Parties (Optional)
• Wearable Devices and Health Platforms: If you provide your consent, we may collect certain data from third-party platforms such as Apple HealthKit or Google Health Connect, including step count, sleep data, menstrual start dates, ovulation test results, cervical mucus characteristics, spotting, sexual activity indicators, date of birth, sex, body temperature, heart rate, weight, height, and sleep status. When you use these features, the privacy policies and terms of service of Apple HealthKit or Google Health Connect, as applicable, also apply.
3. How We Use Your Personal Data
We use the personal data we collect for the following specific purposes and based on the corresponding legal bases, as permitted by applicable law.
3.1 Service Provision (Performance of a Contract)
• Core Features: We analyze your cycle-related data to predict your next menstrual period, estimate ovulation timing, and calculate fertility or pregnancy likelihood.
• Personalized Routines: We provide personalized health habit recommendations, such as nutrition, exercise, sleep, and condition management, and deliver related reminders based on your status.
• Couple Features: We enable you to connect with a partner to share cycle status, mood information, routines, and calendar content in order to support joint health management.
3.2 Service Improvement (Legitimate Interests)
• AI Enhancement: We anonymize data to improve the accuracy of our AI algorithms and to research and develop new features.
• Error Resolution: We identify bugs, monitor performance, and optimize the functionality of the App.
3.3 Communications (Consent)
• Notifications: We send important service-related notices, including changes to the Service or security-related alerts.
• Marketing Communications: With your consent, we may provide you with information about benefits, updates, or related products that may be of interest to you. We do not engage in health data–based targeted advertising.
4. Important: Apple HealthKit Data
soonr handles your health data with the utmost care. In particular, we apply a strict zero-tolerance policy with respect to Apple HealthKit data.
• Explicit Consent: We do not access or collect any HealthKit data unless you explicitly grant permission through the system authorization prompt within the App.
• Purpose Limitation: Any HealthKit data collected is used solely to provide health analysis and coaching features within the soonr App.
• No Advertising or Sale: We do not use HealthKit data for advertising, marketing, or usage-based data mining purposes, and we do not disclose such data to advertising platforms, data brokers, or resellers. HealthKit data is never used for advertising or ad targeting purposes under any circumstances.
5. Couple Connection and Data Sharing
A core value of soonr is supporting your health journey together with a partner.
• Shared Information: When you choose to connect your account with a partner (which we treat as a form of personal data sharing), certain information such as your daily mood, routines, menstrual cycle phase, fertility or pregnancy likelihood, and shared calendar entries will be displayed in your partner’s App interface.
• Control: You may disconnect from your partner at any time.
• After Disconnection: Once the connection is terminated, no new data will be shared going forward. However, you acknowledge that information previously shared during the connection period may have been stored or captured on your partner’s device and cannot be technically deleted by the Company, and may therefore remain accessible to your partner.
6. Third-Party Data Processing
We do not share your personal data with third parties except as described in this Privacy Policy. In particular, health-related data is not shared with third parties for marketing purposes.

6.1 Service Promotion and Analytics (AppsFlyer, Firebase, and Similar Tools)
We use trusted partners such as AppsFlyer and Google Firebase to understand how users install the App and to analyze marketing performance.
The information shared for these purposes may include technical identifiers (such as IP address and advertising identifiers), App installation status, and subscription status.
Importantly, sensitive health data, including menstrual cycle information or symptoms, is never shared in connection with these activities.
You may opt out of such tracking at any time through your mobile device settings (for example, by enabling App Tracking Transparency controls on iOS or resetting your advertising identifier on Android).
6.2 Service Operation Support (Processors)
We may share personal data with service providers that support essential Service operations, such as cloud hosting providers (including AWS) and customer support tools. These service providers process personal data solely in accordance with our instructions and may not use such data for any other purpose.
7. Your Rights (Managing Your Data)
Regardless of your place of residence, we are committed to respecting high standards of data protection and providing you with the following rights in accordance with applicable data protection laws, including principles reflected in the General Data Protection Regulation (GDPR).
• Right of Access: You have the right to request a copy of the personal data we hold about you. Such data may be provided in a structured, commonly used, and machine-readable format (such as JSON).
• Right to Rectification: You have the right to request correction of any personal data that you believe is inaccurate or incomplete.
• Right to Erasure (Right to Be Forgotten): You may request deletion of your account at any time. Upon such request, your personally identifiable information will be permanently deleted from our systems, except where retention is required to comply with legal obligations.
• Right to Restrict or Object to Processing: You have the right to request that we restrict or stop processing your personal data for certain purposes, such as marketing.
• Right to Withdraw Consent: Even if you have previously consented to the use of your health data, you may withdraw your consent at any time through the App settings.
• Right to Data Portability: You have the right to request that we transfer the personal data we have collected to another organization, or directly to you, where technically feasible and subject to applicable conditions.
To exercise any of the rights described above, please contact us through the in-app support center or at the support email address listed below. We will respond to and process your request within thirty (30) days, as required by applicable law.
8. Data Retention and Deletion
• Retention Period: We retain your personal data for as long as necessary to provide the Service while your account remains active.
• Account Deletion: If you request deletion of your account, or if your account becomes inactive for a continuous period of three (3) years, we may permanently delete your personal data using irreversible methods or anonymize such data so that it can no longer be used to identify you.
• Exceptions: Notwithstanding the foregoing, we may retain certain data for a limited period where required to comply with applicable laws or to fulfill legal obligations, including for the resolution of disputes, fraud prevention, or accounting and audit purposes.
9. Data Security Measures
We implement commercially reasonable and industry-standard technical and organizational measures to protect your personal data against loss, theft, misuse, unauthorized access, disclosure, alteration, or destruction.
• Encryption: Your data is encrypted both in transit (using SSL/TLS) and at rest on our servers (using AES-256 or equivalent encryption standards).
• Access Controls: Access to personal data is restricted to authorized personnel on a need-to-know basis only, and all access is subject to monitoring and logging.
• Regular Audits: We conduct periodic security assessments, vulnerability testing, and simulated attack exercises to help safeguard against external threats.
10. Children’s Privacy
soonr is a service intended for adults. We do not knowingly collect personal data from children under the age of thirteen (13), or under the age of sixteen (16) in certain jurisdictions, including the European Union. If we become aware that a minor under the age of eighteen (18) is using the Service, we will promptly take steps to delete the account and associated data.
11. Data Storage and International Transfers
soonr operates as a global service. Your personal data may be transferred to and processed in countries other than your country of residence, including countries where our servers or service providers are located, such as the United States or Europe. When transferring personal data internationally, we implement appropriate safeguards, including the use of standard contractual clauses (SCCs) or other lawful transfer mechanisms, to ensure that your personal data receives a level of protection equivalent to that provided in your home jurisdiction.
12. Changes to This Privacy Policy
We may update this Privacy Policy from time to time to reflect changes in applicable laws, regulations, or our Service. If we make material changes, we will provide advance notice through in-app notifications or email where required by applicable law. The updated Privacy Policy will become effective upon publication unless otherwise stated.
